User represents and warrants that in the event User fails to comply with this Agreement, GOMA may suffer irreparable harm for which there may or may not be adequate remedy at law. Remedies may include, but are not limited to injunctive and/or other equitable relief, payment of royalties, payment for unjust enrichment and, when allowed, liquidated damages in an amount equal to three times the monetary damages suffered by GOMA. User waives any requirement that GOMA prove the economic value of the loss arising out of User’s breach of this User Agreement or post a bond or other security in connection with the enforcement of its rights hereunder. If GOMA brings any action at law or in equity for claims, actions or suits arising out of this User Agreement, User shall pay all attorney fees, court costs and other expenses expended by GOMA in enforcing any of the terms or conditions of this User Agreement or for prosecuting any breach of this User Agreement, in addition to any other relief to which GOMA may be entitled. GOMA, at its sole discretion, will prosecute its claims against User for breach of this User Agreement to the fullest extent possible under the law. 15. Arbitration. Any controversy or claim arising out of or relating to this User Agreement, or the breach thereof, may be sent to arbitration at the sole discretion of GOMA in accordance with the rules of the American Arbitration Association, and judgment upon the award rendered by the arbitrator(s), if any, shall be entered in any court having jurisdiction thereof in accordance with the Venue & Jurisdiction provided provision herein this User Agreement. 16. Venue & Jurisdiction. Any action or proceeding seeking to enforce any provision of, or based on any right arising out of, this User Agreement shall be brought against any of the parties in the courts of the State of Illinois, County of Cook, or, if jurisdiction is otherwise appropriate, in the United States District Court for the Northern District of Illinois. Each of the parties consents to the jurisdiction of such courts (and the appropriate appellate courts) in any such action or proceeding and waives any objection to jurisdiction or venue therein. Process in any action or proceeding referred to in the preceding sentence may be served on any party anywhere in the world. 17. Governing Law. This Agreement shall be construed and interpreted pursuant to the internal laws of the State of Illinois without regard to a court of competent jurisdiction’s choice of law principles. 18. Severability & Savings. In the event that any portion, provision, paragraph, sentence, or word of this User Agreement shall be found to be invalid or unenforceable by a court of competent jurisdiction, this User Agreement shall be deemed amended to delete therefrom such portion, provision, paragraph, sentence or word adjudicated to be invalid or unenforceable; such amendment shall have no effect upon the validity or enforceability of the balance of this User Agreement and such amendment is to apply only with respect to the operation of this User Agreement in the particular jurisdiction in which such adjudication is made. 21. Successors and Assigns. This User Agreement shall be binding on and inure to the benefit of GOMA and its respective heirs, legal representatives, successors, and assigns.
